Flextronics grants Nortel Networks a limited, irrevocable, irrevocable, global, non-exclusive, royalty-free license, but not as a stand-alone license, solely for the production or use of these Flextronics Invention and Nortel Networks services, the right to sublicensing these rights to Nortel Network`s subcontractors for service delivery. Flextronics has required Nortel Networks, at no additional cost, to comply with and obtain all licenses and authorizations necessary to provide services in accordance with the provisions of this Agreement and Agreements, and agrees that all services must comply with all applicable laws, injunctions and regulatory regulations in all countries where these services are provided and all other relevant international agreements regarding the services provided. Each party provides all the information that is under its control, which is necessary or useful to obtain an export or import certificate or a document required for the shipment or receipt of products, including, but without limitation, customs certificates, affidavits of Origin and U.S. Federal Communications Commission Identify, if any. “MCMSA” refers to the revised and revised master manufacturing agreement reached on June 29, 2004 between NNL and Flextronics with respect to the manufacturing services that Nortel Networks is required to provide with respect to the products mentioned in it. Nortel Networks assures and guarantees that (i) no claim or legal action against Nortel Networks or, according to Nortel Networks, on the effective date, against any nortel Networks licensee or supplier is pending or threatened, which, if decided adversely, could affect Flextronics` ability to provide the services; and (ii) this agreement does not violate the terms of its agreements with suppliers.
